Edenor issues $550M in international notes, launches tender for Class 7 Notes
What's the deal? Empresa Distribuidora y Comercializadora Norte S.A. (EdenorDealroom has a profile for this one. Try Dealroom →), Argentina's largest electricity distributor, issued $550M in Class 10 Notes on April 28, 2026. The company also launched a concurrent repurchase offer for its outstanding Class 7 Notes as part of a broader push to manage maturities and strengthen its balance sheet.
The debt was issued under Edenor's global notes programme of up to $1.25B, approved by the Argentine Securities Commission. DLA PiperDealroom has a profile for this one. Try Dealroom → advised on the transaction.
The notes came in two series with different settlement mechanisms. Series I was settled in cash through US dollar transfers held in Argentina and abroad, while Series II was settled in kind through the delivery of Edenor's outstanding Class 3 and Class 5 Notes.
Why now? Argentina's economic reforms under President Milei have been reshaping the country's capital markets, making it easier for major Argentine companies to tap international debt markets. For Edenor, refinancing older notes while conditions are favourable lets it lock in better terms and extend its maturity profile.
What could go wrong? Argentina's macroeconomic environment remains volatile. Currency instability, inflation, and potential policy reversals could complicate Edenor's ability to service dollar-denominated debt over time. Utility companies in Argentina also face regulatory risk — tariff adjustments are politically sensitive and could squeeze margins.
The signal: Edenor's ability to place $550 million in dollar-denominated debt — and simultaneously retire older notes — underscores a widening window for Argentine corporates to access international capital markets under the country's current reform agenda. For a late-stage utility with no recent venture-style fundraising history, the global notes programme ceiling of $1.25 billion suggests management is positioning for further issuances while investor appetite holds.
