The conversion price is set at 85% of the lowest five-day volume-weighted average price before a conversion notice, and any unconverted balance will convert at maturity. BSF can redeem outstanding notes at 125% of nominal value. Indigo will also receive warrants over 9.8 million ordinary shares, exercisable for two years at 3.57p.
Why now? Chairman Geoff Baker said the funding provides "additional working capital and financial flexibility" as BSF develops commercial opportunities across its tissue-engineered product portfolio. The company appears to be at an inflection point where it needs capital to bridge the gap between R&D and commercialisation.
What could go wrong? Convertible loan notes with discount-to-market conversion terms can be dilutive for existing shareholders, especially if the share price drops. The 85% conversion discount means Indigo is guaranteed a built-in gain on conversion, which could pressure the stock.
