BeammWave issued 2,173,913 Class B shares at SEK 11.50 each — the same price as in the rights issue. The board authorised the directed issue based on a mandate from the company's annual general meeting on May 20, 2026.

Why now? The directed issue exists because of unmet demand. Both LMK Industri and Nowo Fund Management participated in the earlier rights issue but didn't receive any allocation beyond their preferential rights. The 276% oversubscription gave the board a clear signal: institutional appetite outstripped supply.

LMK Industri, a Lund-based investor, had not previously been a shareholder in BeammWave. Its chief executive, Anders Månsson, said the firm sees "clear value in backing entrepreneurial, cutting-edge technology companies that operate in global markets." He added that the capital will give BeammWave "additional financial strength to maintain its strategic focus and accelerate its growth ambitions."

What could go wrong? Directed issues dilute existing shareholders, and the SEK 11.50 subscription price was set through negotiations rather than open-market trading. While BeammWave says the price is "in line with market conditions," any post-issue share weakness could prompt scrutiny of that assessment.

The original rights issue was capped at roughly SEK 51.7M, meaning total fresh capital from both tranches approaches SEK 77M. For a company still in growth mode, the question is whether this runway proves sufficient — or whether further fundraising lies ahead.
