National Fuel Gas closes $350M stock placement to fund Ohio utility deal

What's the deal? National Fuel Gas Company has completed a $350M private placement of common stock, selling roughly 4.4 million shares at $79.50 each. The offering closed on December 17, 2025, and was directed solely to accredited investors under a Securities Act exemption. Proceeds will help finance the company's acquisition of CenterPoint Energy's Ohio regulated gas utility business.

Wells Fargo Securities and TD Securities served as placement agents. National Fuel plans to file a prospectus supplement with the SEC to cover resale of the shares.

Why now? The placement is timed to fund a specific acquisition — CenterPoint's Ohio gas utility — and structured to preserve National Fuel's investment-grade credit rating. Raising equity rather than taking on additional debt signals the company wants to keep its balance sheet clean ahead of what could be a capital-intensive integration.

What could go wrong? National Fuel operates across three segments: Integrated Upstream and Gathering, Pipeline and Storage, and Utility. It faces regulatory, economic, and operational risks common to the energy sector, as detailed in its SEC filings. Integrating an acquired utility business always carries execution risk, and any regulatory hurdles in Ohio could delay or complicate the deal.

The signal: Regulated gas utilities remain attractive assets, even as the energy transition accelerates. National Fuel's willingness to dilute shareholders via a large equity raise suggests it sees long-term strategic value in expanding its utility footprint. The deal also reflects a broader trend of consolidation among regional gas distributors, as larger players seek scale and stable, rate-regulated revenue streams.
