REV Exploration raises $4M from Eric Sprott for helium and hydrogen push
What's the deal? REV Exploration Corp., a Canadian junior explorer focused on helium and natural hydrogen, has agreed a $4M private placement with mining and resource investor Eric Sprott. The non-brokered deal will see Sprott — via his holding company 2176423 Ontario Ltd. — acquire roughly 4.2 million units at $0.95 each, with each unit comprising one common share and half a warrant. Full warrants can be exercised at $1.20 per share within 24 months.
REV trades on the TSX Venture Exchange under the ticker REV. The deal is expected to close on or around May 29, 2026, pending exchange and regulatory approval.
Why now? Chief executive Jordan Potts said the funds will accelerate exploration and development across the company's helium and natural hydrogen properties — commodities he described as strategically important amid rising global demand for secure, domestic supply. Helium is critical for semiconductors, medical imaging, and aerospace, while natural hydrogen is attracting growing interest as a clean energy source.
Sprott already holds more than 10% of REV's outstanding shares, making this a related-party transaction under Canadian securities rules. REV said it will rely on available exemptions from formal valuation and minority shareholder approval requirements because the deal's value does not exceed 25% of its market capitalisation.
What could go wrong? REV is still at the exploration stage, meaning there is no guarantee its helium or hydrogen assets will prove commercially viable. The company will pay a 5% cash finder's fee on the placement, and all securities issued carry a four-month-and-one-day hold period. Heavy insider ownership — with Sprott's stake growing further — could also raise governance questions for minority shareholders.
The signal: Sprott's involvement lends credibility to a niche corner of the resource sector that is gaining momentum. The deal reflects a broader investor bet that helium scarcity and the emerging natural hydrogen thesis will reward early movers. For junior explorers, attracting a well-known backer like Sprott can serve as a catalyst for attention and follow-on capital — but execution on the ground remains the real test.
