O-I Glass subsidiary launches $500M senior notes offering due 2033

What's the deal? Owens-Brockway Glass Container Inc., an indirect wholly owned subsidiary of O-I Glass, has launched a $500 million senior notes offering with the notes due in 2033. The notes will be guaranteed on a joint and several basis by Owens-Illinois Group, Inc.

The offering is being conducted as a private placement under Rule 144A and Regulation S of the US Securities Act, meaning the notes will only be available to qualified institutional buyers and certain non-US persons.

Why now? O-I Glass has not disclosed the intended use of proceeds. However, based on prior transactions — including a 2024 offering of $300 million to redeem 2025 senior notes and a 2022 tender offer of $250 million for various outstanding debt — it is likely the funds will go toward debt refinancing or restructuring.

O-I Glass is one of the world's largest producers of glass bottles and jars, operating in 19 countries with more than 23,000 employees. It reported net sales of $7.1 billion in 2023.

What could go wrong? The offering is subject to market conditions and other factors. As with any debt issuance, risks include interest rate fluctuations and the company's ability to service its obligations.
