Orkla's UK arm acquires biscuit maker Phoenix Brands

What's the deal? Orchard Foods Valley Ltd (OV UK), a subsidiary of Orkla Food Ingredients (OFI), has acquired 100% of the shares in Phoenix Brands Ltd, a UK-based producer of biscuits and baked inclusions. The deal has already signed and completed. The purchase price was not disclosed.

Phoenix Brands serves customers across bakery, dairy, and confectionery applications and operates its own production site. The acquisition gives OV UK additional manufacturing capabilities in the sweet inclusions category.

"Phoenix Brands represents a strong strategic fit for OV UK," said Coen Louwerse, chief executive officer of OV UK. "This acquisition strengthens our capabilities within sweet inclusions and enhances the value offering we bring to customers in the UK market."

Why now? OFI has been pursuing a strategy of building specialised positions in selected ingredient segments through targeted acquisitions. Phoenix Brands fits that playbook — it occupies a clear niche with long-standing customer relationships and a scalable platform.

"This acquisition is well aligned with our strategy of strengthening our ingredients portfolio through targeted investments in attractive categories with strong fundamentals," said Tor Osmundsen, chief executive officer of OFI Sweet Ingredients.

What could go wrong? Integration risk is the obvious concern. Phoenix Brands' previous owner and managing director, Andy Richards, said he would remain involved to support continuity — a sign the parties are mindful of preserving the relationships and expertise that made the business attractive in the first place.

The undisclosed price tag also makes it harder for outside observers to judge whether OV UK paid a reasonable multiple.

The signal: The deal reflects a broader trend in food ingredients: large players are snapping up niche manufacturers to consolidate fragmented categories. OFI, which already holds a leading position in European bakery, ice cream, and plant-based ingredients, is using bolt-on acquisitions to deepen its UK footprint rather than build from scratch. For specialist producers with strong customer ties and defensible niches, that makes them prime acquisition targets.
