Australian Gold and Copper acquires Junee Gold Project, launches A$5M raise

What's the deal? Australian Gold and CopperDealroom has a profile for this one. Try Dealroom → (ASX: AGC), an exploration company focused on gold and copper deposits across New South Wales, has agreed to acquire 100% of New South ResourcesDealroom has a profile for this one. Try Dealroom → Pty Ltd, the owner of the Junee Gold Project. The deal, announced on May 27, is valued at roughly A$5.4 million and will be settled entirely in shares — 30 million new AGC shares at A$0.18 each.

Alongside the acquisition, AGC has secured A$5 million through a two-tranche placement at A$0.155 per share — a 13.9% discount to its last closing price. The capital will fund an expanded exploration budget for the 2027 financial year.

Why now? Junee sits roughly 230km south of AGC's existing South Cobar Project and features seven drill-ready targets, including the Dobroyde epithermal deposit with high-grade intersections and the Burringa copper-gold-molybdenum deposit. The project sits in an active gold district that hosts Evolution MiningDealroom has a profile for this one. Try Dealroom →'s Cowal Gold Mine.

More than A$10 million in exploration has already been invested at Junee since 2017 by majors including Freeport-McMoRan and Newmont, with New South Resources as operator. New South holds 100% ownership free of royalties or encumbrances — a clean asset for AGC to absorb.

Managing director Glen Diemar said the acquisition upgrades AGC's portfolio with "immediate discovery potential for large-scale gold systems in a fertile NSW mineral belt."

What could go wrong? The deal is being funded entirely through share issuance, which dilutes existing shareholders. The placement's 13.9% discount to the last closing price adds further dilution pressure. Junee's seven targets are drill-ready but unproven at scale — exploration success is never guaranteed, and the project's value hinges on results that haven't arrived yet.

The signal: With gold prices hovering near record highs, early-growth explorers like AGC are racing to lock in de-risked ground before valuations catch up. The fact that majors like Freeport-McMoRan and Newmont previously invested over A$10 million at Junee — and that the project sits in the same NSW district as late-growth operator Evolution Mining's Cowal Gold Mine — suggests the geology has already passed a credibility threshold that most junior exploration targets never reach.
