Cerro Verde secures $350M loan to refinance mining debt

What's the deal? Sociedad Minera Cerro Verde, a Peruvian copper mining joint venture, has contracted a $350M unsecured revolving loan to refinance an earlier syndicated term loan. Citibank, The Bank of Nova Scotia, and Banco Bilbao Vizcaya Argentaria arranged the facility, with proceeds used to fully repay the outstanding balance on a $1.8B term loan dating back to 2014.

That original loan had funded Cerro Verde's $4.6B expansion project, which boosted concentrator plant capacity and production output. The new, smaller facility signals a leaner debt structure as the company moves past its expansion phase.

Why now? The 2014 loan, modified in 2017, has served its purpose. With the expansion complete and production ramped up, Cerro Verde is shifting from growth financing to optimised debt management — replacing a large term loan with a smaller revolving facility to reduce leverage.

What could go wrong? The loan is unsecured and carries no guarantees, which could raise risk for lenders if copper prices drop or operations hit trouble. Cerro Verde has also faced ongoing challenges around air quality and worker health, with local communities reporting concerns over dust emissions from the mine — one of Peru's largest copper complexes, located in Yarabamba.

The signal: This refinancing reflects a broader trend among major mining operations: after years of capital-intensive expansion, companies are consolidating balance sheets and lowering debt loads. With copper demand rising on the back of electrification and energy transition, well-capitalised producers like Cerro Verde — majority-owned by Freeport-McMoRan (53.56%), alongside SMM Cerro Verde Netherlands (21%) and Compañía de Minas Buenaventura (19.58%) — are positioning for long-term cash generation rather than further capex binges.

The deal is governed by New York law, underscoring the continued role of US legal frameworks in structuring Latin American mining finance.
