Lafayette Instrument makes fifth bolt-on deal, acquiring Sutter Instrument

What's the deal? Lafayette Instrument, a portfolio company of private equity firm Branford Castle Partners, has acquired Sutter Instrument Corp., a maker of precision scientific instruments used in electrophysiology and neuroscience research. Terms were not disclosed.

Sutter is the fifth bolt-on acquisition for Lafayette since Branford Castle's Fund II acquired it in 2021. The deal expands Lafayette's life sciences instrumentation portfolio with Sutter's 50-year track record serving universities and research institutions globally.

Why now? Branford Castle is steadily building Lafayette into a broader platform for life sciences research tools. The firm, which focuses on lower middle-market companies with up to $15M in EBITDA, sees growing demand from researchers who want the latest instrumentation and software.

Lafayette itself has over 75 years of experience in scientific instrumentation across biology, neuroscience, pharmaceutical research, and other fields. Adding Sutter's electrophysiology and cellular research products fills a gap in that portfolio.

What could go wrong? Five bolt-on deals in roughly four years is an aggressive pace. Integration risk grows with each acquisition, especially when combining highly specialised scientific instrument makers that serve niche research communities. Any disruption to product quality or customer support could erode the trust these brands have built over decades.

The signal: This deal fits a well-worn private equity playbook — buy a niche manufacturer, then bolt on complementary businesses to create a broader platform with pricing power and cross-selling opportunities. The life sciences instrumentation space is particularly attractive because it serves research institutions with recurring needs and relatively inelastic budgets.

Byline Bank provided senior debt financing and Brookside Capital Partners supplied mezzanine debt, suggesting a leveraged structure typical of lower middle-market PE deals. Akerman LLP advised Branford Castle, while EC M&A and Donahue Fitzgerald LLP represented Sutter.
