GRK Infra acquires Finnish concrete firm KSBR for up to €97.5M

What's the deal? Finnish infrastructure company GRK Infra Plc has signed a deal to acquire Keski-Suomen Betonirakenne Oy (KSBR) and its subsidiaries from current shareholders. The base purchase price is approximately €85.5M, consisting of roughly €58.7M in cash and 1,676,273 new GRK shares valued at €16 per share.

An earn-out mechanism could push the total price to around €97.55M. The earn-out is tied to KSBR's operating profit in 2026–2028 and to a specific development project running through 2030.

KSBR posted €124M in revenue and €10.9M in operating profit in 2025. GRK says the acquisition will bolster its expertise in complex concrete structures, energy, and data centre projects.

Why now? GRK is pursuing a growth strategy focused on expanding its private-sector customer base and improving profitability. KSBR brings a strong order book and an established position in concrete construction — a segment buoyed by rising demand from energy infrastructure and data centre buildouts across the Nordics.

GRK expects the deal to boost both revenue and adjusted operating profit in 2026.

What could go wrong? The earn-out structure introduces uncertainty around the final price. Part of it hinges on KSBR achieving EBIT above €12M in any year from 2026 to 2028, and another portion depends on a single development project's performance through 2030 — with no cap on that component, though GRK estimates it at roughly €1M.

Integration risk is also a factor. Merging construction firms with different project pipelines, cultures, and client relationships is notoriously tricky.

The signal: This deal reflects a broader pattern of Nordic infrastructure firms consolidating to capture growing demand from data centres and energy projects. As hyperscalers expand across Scandinavia and Europe invests heavily in energy transition, companies with concrete and structural expertise are becoming prized acquisition targets. GRK is betting that scale and specialisation will be the winning formula in a market flush with large, complex projects.
