Sun Pharma to acquire Organon in $11.75B deal
What's the deal? Sun Pharmaceutical Industries, one of India's largest drugmakers, has signed a definitive agreement to acquire Organon & Co. in an all-cash transaction valued at $11.75 billion enterprise value. Organon stockholders will receive $14.00 per share.
Organon is a global healthcare company spun off from Merck in 2021. It sells more than 70 products across women's health and general medicines — including biosimilars — in 140 countries.
The combined company would generate $12.4 billion in revenue, placing it among the top 25 global pharmaceutical companies. Sun Pharma would also become the seventh-largest global biosimilar player and a top-three company in women's health.
Why now? The deal aligns with Sun Pharma's strategy of growing its innovative medicines business. Organon's global footprint — six manufacturing facilities across the EU and emerging markets, plus strong positions in the US, China, Canada, and Brazil — complements Sun Pharma's existing strengths.
The acquisition would nearly double Sun Pharma's EBITDA and cash flow, giving it presence in 150 countries with 18 markets each generating over $100 million in revenue.
What could go wrong? The transaction still requires regulatory approvals and a vote by Organon stockholders. Integration of two large global pharmaceutical operations across 150 countries carries significant execution risk.
Post-transaction net debt to EBITDA would sit at 2.3x — manageable but not trivial, especially if revenue synergies take longer to materialise.
The signal: Indian pharmaceutical giants are no longer content to be generics powerhouses. Sun Pharma's bid for Organon signals a broader shift toward building diversified, innovation-led platforms with global scale.
The deal also reflects growing consolidation in the established brands and biosimilars space, where scale and geographic reach matter more than ever as pricing pressures mount worldwide. Dilip Shanghvi, Sun Pharma's executive chairman, called the acquisition "a significant opportunity" to create "a stronger and more diversified platform."
