Delta Group takes majority stake in Hungarian IT firm UpScale

What's the deal? Delta Group, a company listed on the Budapest Stock Exchange, has agreed to acquire a 51% stake in UpScale HOLDING Vagyonkezelő Kft. The deal gives Delta indirect control over two subsidiaries: UpScale IT Informatikai Szolgáltató Kft. and UpScale Labs Kft. — both focused on software development and AI-based systems for mid-sized and large enterprises. The transaction is subject to closing conditions outlined in the contract.

UpScale reported consolidated revenue of nearly 1 billion Hungarian forints (roughly €2.5M) in 2025 and employs close to 40 people. Delta Group, meanwhile, posted revenue of 23.9 billion forints for the fiscal year ending June 30, 2025 — down from 31.3 billion the year before. Net profit also fell, from 1.8 billion to 1.1 billion forints.

Why now? Delta's declining revenue and profit suggest the company needs higher-margin business lines. The acquisition is explicitly aimed at boosting profitability and expanding Delta's technological capabilities, particularly in AI and digitalisation.

Demand for enterprise AI solutions and complex digital projects has been growing steadily in Hungary and across the region. By absorbing UpScale's specialised team and client relationships, Delta positions itself to capture a larger share of that market — both domestically and internationally.

What could go wrong? UpScale is a compact, 40-person operation. Integrating a small, specialised team into a much larger corporate structure risks disrupting the culture and agility that made it attractive in the first place. Delta says UpScale will continue operating in its current form, but maintaining that independence over time is easier said than done.

Delta's shrinking top line also raises questions about whether it can invest enough to accelerate UpScale's growth while managing its own financial pressures.

The signal: This deal fits a broader consolidation trend in Central European IT services. As AI capabilities become table stakes for enterprise technology providers, larger firms are buying rather than building. For Delta, the bet is that AI-driven services will deliver the margins its core business currently lacks. If the global enterprise AI market continues its projected double-digit growth, the timing could prove shrewd.
