InCentea takes 51% stake in Kaizen Tech to boost industrial efficiency push

What's the deal? Portuguese IT group inCenteaDealroom has a profile for this one. Try Dealroom → has acquired a 51% stake in Kaizen TechDealroom has a profile for this one. Try Dealroom →, a company specialising in continuous improvement methodologies and process reengineering. Kaizen Tech's founding shareholders — Grupo Amorim and the Kaizen Institute — retain their positions in the company.

Paulo Martins, a board member of Incentea Capital SGPS, will lead Kaizen Tech as chief executive officer.

"The integration of Kaizen Tech into the Incentea universe represents a strategic step in consolidating our offering for industry, leveraging complementary competencies and creating conditions for sustained expansion, both in the Iberian market and in new international markets," Martins said in a statement.

Why now? InCentea, led by chief executive António Poças, framed the acquisition against a backdrop where operational efficiency has become critical for companies facing rising costs, resource scarcity, and intensifying competition. The group, which is headquartered in Leiria and specialises in implementing, integrating, and supporting IT management systems and infrastructure, sees Kaizen Tech as a way to strengthen its response to these pressures.

What could go wrong? Integrating a process-focused consultancy into an IT services group is never straightforward. Cultural and operational differences between technology implementation and continuous improvement methodologies could slow down the expected synergies. Expanding simultaneously into new international markets while merging two distinct business models adds further execution risk.

The signal: A mature IT services group acquiring a majority stake in an early-growth process consultancy underscores how established Portuguese tech firms are using M&A to bundle operational expertise with digital infrastructure. With Grupo Amorim and the Kaizen Institute remaining as minority shareholders, inCentea gains immediate credibility in industrial efficiency — a domain where demand is rising as Iberian manufacturers face margin pressure and accelerating digitalisation requirements.
