Wynnchurch Capital sells Ironform, one of North America's largest metal fabricators
What's the deal? Wynnchurch Capital, a middle-market private equity firm based in Rosemont, Illinois, has sold Ironform Holdings to an unnamed strategic buyer. Ironform, headquartered in Chicago, is one of the largest metal fabricators in North America, supplying precision metal stampings, fabricated components, and assemblies to the agriculture, construction, off-highway, bus, and industrial sectors.
The company operates facilities in Texas, Washington, Virginia, and Missouri. Financial terms of the deal were not disclosed.
Why now? Wynnchurch says it spent years transforming Ironform through operational and commercial initiatives. John Hatherly, managing partner at Wynnchurch, said the firm helped turn Ironform into "a leading heavy equipment metal fabrication platform" with "best-in-class delivery and quality."
The sale follows what appears to be a broader pattern for Wynnchurch, which manages $9.1B in assets and has been active on both the buy and sell sides. It recently acquired NABRICO Marine Products and invested in Charter Industries, Astro Shapes, and Principal Industries — all manufacturing businesses.
What could go wrong? The buyer's identity remains undisclosed, making it hard to assess strategic fit or integration risks. Metal fabrication is cyclical and closely tied to capital spending in agriculture, construction, and heavy industry — sectors sensitive to interest rates and trade policy.
The signal: The deal underscores continued private equity appetite for industrial manufacturing platforms in the US middle market. Wynnchurch's playbook — buy, improve operations, and sell to a strategic acquirer — remains a well-worn path in the sector. That a strategic buyer, rather than another financial sponsor, picked up Ironform suggests industrial companies are still willing to pay for scale and operational quality, even in a mixed macro environment.
