ValOre Metals raises C$2M for Brazil PGE exploration via insider debenture

What's the deal? ValOre Metals, a Canadian mineral exploration company listed on the TSX Venture Exchange, is issuing convertible unsecured debentures to raise up to C$2M. The funds will primarily go toward exploration at its Pedra Branca platinum group elements (PGE) project in northeastern Brazil, with additional use for evaluating acquisition targets in the country and general working capital.

The debentures carry a 6% annual interest rate and an 18-month term. The principal converts into company units at C$0.12 per share — exercisable six months after issuance — with each unit comprising one common share and half a purchase warrant.

Each whole warrant lets the holder buy one additional common share at C$0.15 over 36 months. A one-way adjustment mechanism means the conversion price rises if ValOre completes a significant financing of at least C$5M at a higher per-share price within six months, but it cannot fall below C$0.12.

Why now? Pedra Branca is ValOre's flagship asset, spanning 45 exploration licences across 51,096 hectares. The company focuses on projects with significant prior investment and potential for large-scale, high-grade mineralisation — and it needs fresh capital to advance that work.

What could go wrong? The sole subscriber for this offering is a company officer and director, making it a related party transaction under TSXV Policy 5.9 and MI 61-101. ValOre plans to rely on exemptions from formal valuation and minority shareholder approval requirements, arguing that the debenture value doesn't exceed 25% of its market capitalisation.

The insider plans to fund the subscription partly or fully by selling common shares on the open market through cross-trades at market price before closing. ValOre says the participation will not create a new control person, but the structure concentrates the raise in a single insider — a governance detail investors will want to watch.

The offering is also subject to TSXV approval, and all securities carry a four-month hold period under Canadian securities laws.

The signal: Platinum group elements are gaining strategic importance as demand grows for catalytic converters, hydrogen fuel cells, and other clean-energy applications. A C$2M insider-led debenture is modest by any measure, but it signals management conviction in Pedra Branca's potential at a time when junior miners often struggle to attract external capital. The structure — no brokered fees, no commissions — keeps costs lean and aligns insider skin in the game with shareholder interests, even as it raises the usual related party questions.
