Fox Group acquires DSD Construction to deepen UK civil engineering reach

DSD, founded in 1993 by the Nugent family, specialises in highways, infrastructure, and regulated sectors. It brings technical expertise in surfacing, cold milling, and in-situ recycling, with a nationwide delivery capability.

Founder and chief executive Shaun Nugent and managing director Martin Tweddle will stay on. DSD will continue to trade under its own name alongside Fox Group's other businesses, J. Fisher & Sons and NMS Civil Engineering.

Why now? The deal fits a clear vertical integration strategy. DSD is a significant user of aggregates and asphalt — materials Fox Group already produces. Bringing that demand in-house should increase material volumes across the group and improve supply chain utilisation.

DSD also gives Fox Group access to highways, nuclear, rail, and water sector clients, broadening its customer base and framework presence. The acquisition supports Fox Group's circular economy model, which recycles reclaimed asphalt planings back into new asphalt.

What could go wrong? Integration is always the risk with acquisitions, especially when a family-run business joins a private equity-backed group. Cultural alignment matters — Fox Group emphasises its own family heritage as a natural fit, but retaining DSD's leadership team and client relationships through the transition will be the real test.

There's also the question of whether the UK infrastructure pipeline holds up. DSD's value depends heavily on public sector spending and Tier 1 contractor demand, both of which are subject to political and economic shifts.

The signal: Fox Group's fourth bolt-on since Stellex's investment follows a familiar PE playbook: buy a materials producer, then acquire downstream users to lock in demand and capture margin across the value chain. DSD, classified as early growth stage on Dealroom despite being founded in 1993, suggests untapped scaling potential that a platform acquirer can accelerate — particularly as UK public infrastructure spending creates a steady pipeline for highways and regulated-sector civil engineering work.
