Wellgistics Health refinances convertible debt, raises $6.5M with $50 preferred-stock kicker
What's the deal? Wellgistics HealthDealroom has a profile for this one. Try Dealroom → (NASDAQ: WGRX), a health IT company based in Tampa, Florida, has issued a new $21M convertible debt instrument that refinances all its outstanding convertible debt and raises $6.5M in fresh capital. The offering was oversubscribed.
The new debt carries no interest and converts into common shares at $6.00 per share. It will automatically exchange into preferred stock once a registration statement becomes effective and shareholders approve the creation of that stock class. That preferred stock converts into common shares at $50.00 per share — well above the company's recent trading price of $3.25.

Why now? The $6.5M in new capital satisfies a key closing condition for the previously announced DelivMeds AI Transaction — a binding term sheet Wellgistics signed with Datavault AIDealroom has a profile for this one. Try Dealroom →, EOS Technology HoldingsDealroom has a profile for this one. Try Dealroom →, Scilex Pharma, and HealthBridge Advisors. Without this raise, that deal couldn't close.
"We believe we now have a strong operational mandate and the capital needed to execute our vertically-integrated growth strategy," said Gerald Commissiong, interim co-chief executive officer.
Wellgistics integrates its AI pharmacy dispensing platform EinsteinRx with its blockchain-enabled smart contracts platform PharmacyChain, connecting more than 6,500 pharmacies and over 200 manufacturers.
What could go wrong? The company itself flagged that the transaction "may result in substantial future dilution to existing stockholders." The $50.00 preferred stock conversion price is roughly 15 times the current share price, and Wellgistics warned there is no assurance its stock will trade at or above that level. All conversion prices are subject to adjustments for market conditions.
The preferred stock creation also requires shareholder approval — a step that isn't guaranteed.
The signal: Wellgistics Health sits at the early growth stage, and the oversubscribed raise — alongside placement agent Dawson James Securities, a firm more typically seen backing micro-cap life sciences plays — reflects a niche but real investor appetite for AI-enabled pharmacy infrastructure. Still, the multi-step conversion structure, from zero-interest debt at $6.00 to preferred stock converting at $50.00 against a $3.25 share price, signals that backers are pricing in a dramatically different future rather than today's fundamentals.
