TOTM Technologies raises S$5.5M private placement, pivots to AI and blockchain

What's the deal? Singapore-listed TOTM TechnologiesDealroom has a profile for this one. Try Dealroom → (SGX: 42F) has completed a private placement of 220.5 million new ordinary shares at S$0.025 each, raising gross proceeds of roughly S$5.5 million. The offering was managed by SAC Capital Private Limited with Maybank Securities as sub-placement agent.

The placement drew participation from Lion Global InvestorsDealroom has a profile for this one. Try Dealroom → Limited and multiple high-net-worth individuals — a sign of institutional confidence in the company's pivot toward emerging tech.

TOTM, a Singapore-based digital solutions provider specialising in biometric identity management, plans to use the funds to expand into AI and blockchain infrastructure. Through its venture-building arm TOTM Labs, it has launched TOTM.AI, marking its formal entry into artificial intelligence and blockchain digital infrastructure.

Why now? The placement follows a March 2026 shareholder mandate that authorised TOTM to diversify into the development, commercialisation, and operation of emerging technology solutions. With that green light secured, the company moved quickly to raise capital.

CEO Chan Wei Jie said the fresh funds will support commercialisation of next-generation AI and blockchain offerings, using TOTM's existing biometric and digital identity business as a stable foundation.

What could go wrong? The placement shares represent about 14.52% of existing issued share capital and will constitute around 12.68% of the enlarged post-placement share capital — meaningful dilution for current shareholders. The shares were priced at a 2.72% discount to the volume-weighted average price as of May 14, 2026.

TOTM is also venturing far from its core biometric identity business. Entering crowded AI and blockchain markets as a small-cap company carries execution risk, especially when competing against better-funded players across Southeast Asia.

The signal: Classified as an early-growth company on Dealroom, TOTM's pivot from biometric identity management into AI and blockchain underscores how small-cap Southeast Asian firms are stretching into adjacent emerging-tech verticals to capture investor interest. The participation of Lion Global Investors — an established investment fund — lends a degree of institutional credibility, but the modest S$5.5 million raise highlights the capital constraints TOTM faces against better-funded regional competitors chasing the same AI and blockchain infrastructure themes.
