Creo Medical raises £5.5M placing at 32% premium, directors take 40% of round

What's the deal? Creo Medical Group, a medical device company specialising in minimally invasive surgical endoscopy, has raised £5.5M through a placing of 36.7 million new shares at 15 pence each. The price represents a 31.9% premium to the previous closing price of 11.4 pence.

Three directors participated in the placing, subscribing for 14.3 million shares worth £2.15M. Chairman Kevin CroftonDealroom has a profile for this one. Try Dealroom → alone took 13.3 million shares — the bulk of the director allocation.

Shore Capital Stockbrokers acted as sole bookrunner. The new shares are expected to begin trading on AIM on 28 May 2026.

Why now? The placing at a significant premium suggests investor confidence in Creo Medical's strategy at a time when the company is looking to accelerate its business. Chief executive officer Craig GullifordDealroom has a profile for this one. Try Dealroom → said the company was "very pleased to have received this strong support from investors for our business and strategy."

Heavy director participation — nearly 40% of the total placing — signals management conviction in the company's trajectory.

What could go wrong? Director participation triggered related-party transaction rules under AIM's regulations. Independent directors Ivonne Cantu and Brent Boucher consulted with Deutsche Numis and deemed the terms fair and reasonable for shareholders.

The placing will dilute existing shareholders. Following admission, total issued capital will rise to roughly 449.1 million ordinary shares.

The signal: A placing at a 32% premium is notable for a small-cap medtech company on AIM, where many firms struggle to raise capital on favourable terms. Directors subscribing for nearly 40% of the total allocation — at above-market prices — is an unusually bullish signal of management conviction, one that institutional investors in the minimally invasive surgery space will watch closely.
