Fidelity Minerals Upsizes Private Placement to $2.81M for Peru Exploration

What's the deal? Fidelity Minerals Corp., a TSX Venture Exchange-listed resource company, has increased the size of its non-brokered private placement from 12.5 million units to 14.05 million units, bringing total gross proceeds to $2.81 million. Each unit is priced at 20 cents and consists of one common share and one-half warrant, with each full warrant exercisable at 30 cents for 24 months after closing.

If the company's share price hits 60 cents for 10 consecutive trading days, it can accelerate the warrants' expiry, giving holders just 30 days to exercise.

The proceeds will fund exploration and community relations programmes at its Peruvian projects, along with general working capital.

Why now? Fidelity's principal asset is a 44.5% stake (with a right to earn 50%) in the brownfield Las Huaquillas project in northern Peru. The company is working to confirm previous underground sampling results and prepare for drilling, with a goal of producing a new NI 43-101-compliant mineral resource estimate. The upsized placement suggests stronger-than-expected investor appetite to fund that next phase of work.

Las Huaquillas offers both gold and copper potential, with two confirmed porphyry systems flanking its Los Socavones epithermal gold zone.

What could go wrong? The financing still requires TSX-V approval, and all securities issued will be subject to a four-month-and-one-day statutory hold period. As a junior explorer operating in Peru, Fidelity faces the usual risks: permitting delays, commodity price swings, and the challenge of converting early-stage results into a bankable resource.

Finders' fees will also apply, reducing net proceeds available for fieldwork.

The signal: Fidelity Minerals sits at the early growth stage, according to Dealroom, underscoring how much work — and capital — remains between exploration and production. Upsizing a placement by over 12% suggests that investor appetite for dual copper-gold exposure is outpacing what even the company initially anticipated, a useful data point for other junior explorers testing the market.
