BioMarin Acquiring Amicus for $4.8B to Expand Rare Disease Portfolio

BioMarin Pharmaceutical has agreed to acquire Amicus Therapeutics in a cash deal valued at about $4.8 billion, representing a premium of 33% to Amicus’s share price. The transaction is expected to close in the second quarter of 2026.

The deal adds two marketed therapies to BioMarin’s portfolio, expanding its presence in rare metabolic diseases. Amicus’s treatments for Fabry and Pompe diseases generated nearly $600 million in combined revenue over the past four quarters and will become part of BioMarin’s commercial operations once the acquisition closes.

BioMarin, based in San Rafael, California, focuses on developing and selling medicines for rare genetic conditions and has built a global sales infrastructure around a small number of specialised products.

The addition of Amicus increases the number of approved therapies in its portfolio and broadens its exposure to patient populations already being treated in specialist care settings.

Amicus, headquartered in New Jersey, has spent recent years shifting from development to commercialisation. Under the deal, its existing products will be sold through BioMarin’s larger commercial network, while Amicus’s research and operational capabilities are expected to be integrated into BioMarin’s organisation.

BioMarin said it will fund the acquisition with cash and new debt. The transaction will add revenue immediately after closing and the company expects the combined business to be profitable on an adjusted basis within the first year.

The acquisition consolidates two companies focused on rare diseases and reflects continued deal-making in the sector as larger groups seek to add approved products and scale in specialised markets.
