From Wall Street to Private Hands: Thoma Bravo Buys Olo in $2B Cash Deal

Try Dealroom →, a leading private equity firm, has entered into a definitive agreement to acquire Olo, a restaurant software platform, in a deal valued at approximately $2 billion. Under the agreement, Olo shareholders will receive $10.25 per share in cash — a 65% premium over the company’s closing price before the announcement.

Olo, which went public in 2021, provides digital ordering and delivery infrastructure for restaurant brands across the U.S. The acquisition will result in Olo becoming a privately held company again, giving it more flexibility to grow outside the public markets. Thoma Bravo says it plans to support Olo’s long-term strategy while keeping the current leadership team in place.

The deal is expected to close by the end of 2025, pending shareholder and regulatory approvals.
