Lianhe Sowell prices $11M follow-on offering on Nasdaq

What's the deal? Lianhe Sowell InternationalDealroom has a profile for this one. Try Dealroom → Group (Nasdaq: LHSW), a Chinese provider of industrial machine vision products and solutions, has priced an $11 million follow-on public offering on a best-efforts basis. The Shenzhen-based company is selling 7,638,889 units at $1.44 each.

The terms. Each unit combines one Class A ordinary share and three warrants, each exercisable for one Class A ordinary share at $1.66. The warrants carry a six-month term from the closing date.

What's the endgame? The offering could add up to 22,916,667 shares if all warrants are exercised. The shares and warrants are immediately separable and will be issued separately.

The signal: At $11 million, the raise sits well below the norm for public equity deals — in the bottom decile by size. For a small-cap machine vision player, the best-efforts structure and heavy warrant coverage point to a company tapping public markets on modest terms.
