GameStop builds $4.95B eBay stake after $56B takeover rebuff

What's the deal? GameStopDealroom has a profile for this one. Try Dealroom → has converted a derivative position tied to eBay into a direct equity investment, giving it roughly 43.4 million shares worth about $4.95 billion. The company disclosed the move Monday, August 31, in preliminary second-quarter results for the period ended August 1.

Why now? The stake follows eBay's rejection of GameStop's $56 billion acquisition proposal, which it declined over financing uncertainty, leverage, operational risks, and governance concerns. GameStop has not said its takeover effort is over.

What's the endgame? Chief executive officer Ryan Cohen has argued the two companies could combine their positions in collectibles and trading cards, using GameStop's roughly 1,600 US stores as hubs for authentication and other services. A partnership or joint venture could pursue those opportunities without a full acquisition.

The investment also lifted GameStop's quarterly results. It expects net income of $290 million to $310 million, including about $238 million of net gains tied to its eBay derivative and equity investment. Those gains offset a roughly $75 million loss on digital assets and related receivables.

By the numbers: eBay reported 15% year-over-year gains in the quarter, with revenue rising to $3.2 billion and gross merchandise volume to $22.4 billion. Its growth has concentrated in categories where inventory scarcity, buyer trust, and seller expertise matter more than delivery speed.

GameStop's original pitch focused on cutting eBay's $2.4 billion annual sales and marketing spending and generating $2 billion in yearly cost reductions. Cohen later said GameStop was “coming for eBay one way or another.”

The signal: The equity position suggests that phrase may increasingly mean influence rather than outright ownership. For GameStop, the stake converts a rejected takeover into a foothold in digital commerce — and a lever to keep pressing its case as a major shareholder.
