Zedge lands $7.5M insider investment, names Berger CEO to drive DataSeeds.AI push

The terms: The financing is expected to close within 10 days, priced at the higher of the Class B closing price before announcement or funding. It includes 90% warrant coverage with a five-year term and an exercise price at 110% of the purchase price, subject to stockholder approval and a six-month lockout.

The new team: Berger, who brings prior public company leadership experience, replaces the outgoing chief executive. Jonathan Reich will become president and chief operating officer.

What's the endgame? Zedge plans to use the proceeds to grow DataSeeds, expand its technology, infrastructure, and datasets, and potentially pursue selective acquisitions. DataSeeds recently fulfilled its first six-figure order for an existing customer and signed its first model-evaluation deal.

Why now? The raise builds on improving fundamentals. In the third quarter of fiscal 2026, Zedge generated $1.2 million in free cash flow, up 55% year over year, and ended the period with $19.7 million cash and no debt.

What could go wrong? The new equity issuance plus 90% warrant coverage implies potential future dilution for existing shareholders. Zedge is also temporarily suspending share repurchases in connection with the deal, though it will keep paying its quarterly cash dividend.

The signal: The insider-led financing is modest by market standards, ranking in the bottom tenth of comparable rounds by size. But paired with fresh leadership and early commercial traction, it marks a deliberate bet by Zedge that data for AI model training is worth doubling down on.
