AInnovation buys 51% of Qingdao ALP for $17.1M in AI manufacturing push

What's the endgame? The deal supports AInnovation's "AI + Manufacturing" strategy. Qingdao ALP has worked in industrial software for more than 10 years, and AInnovation pointed to its industry know-how, mature customer base, and industrial scenario data.
Why now? The acquisition brings industrial revenue, AI and software service revenue, and profit to AInnovation. It also helps the group build benchmark customers in high-growth verticals including food and beverage and new materials.
How the payments work: Beyond the first payment, the remaining consideration is spread over three years and tied to performance commitments. Those commitments cover revenue, net profit excluding extraordinary gains and losses, sales gross margin, and financial gross margin.
What could go wrong? Qingdao ALP missed its full performance commitments in 2022, 2023, and 2024. Its 2022 achievement rate was 95.67%, below the 100% target but enough to trigger payment.
AInnovation must pay the vendors RMB19.52 million for 2022. After it adjusted the sales gross margin assessment from May 2023, achievement rates reached 91.04% for 2023 and 96.67% for 2024, requiring payments of RMB18.57 million and RMB19.72 million, respectively.
Despite the shortfalls, AInnovation said Qingdao ALP's revenue in each year ran well above the adjusted share transfer price, with net profit rising across the period.
The signal: The purchase shows how Chinese AI firms are buying established industrial software players to embed AI in manufacturing, trading upfront capital for data, customers, and a foothold in specialised verticals.
