Von Koch buys out Bactiguard co-founder at 56% premium, lifts stake to 72% of votes

What's the deal? TomBactDealroom has a profile for this one. Try Dealroom →, wholly owned by Bactiguard major shareholder Thomas von Koch, has acquired all shares held by co-founder Christian Kinch in the Swedish medical technology company. The stake corresponds to about 17% of the shares and 34% of the votes, comprising 2 million A shares and roughly 4.1 million B shares.

The terms: The transaction closed after market close at a premium of about 56% to Bactiguard's share price on August 27.

Why now? Kinch, who co-founded Bactiguard with von Koch, said he is stepping back after two decades in the business. "After 20 years with Bactiguard, as founder, principal shareholder, and in roles as CEO and chairman, it was time to reallocate my commitment and ownership in Bactiguard to other engagements," he said.

He added that he still has "full confidence in Bactiguard's technology" and will keep following the company.

What changes? After the deal, von Koch controls about 15.6 million shares, or 43.6% of the capital and 71.9% of the votes, according to a disclosure notice. That consolidates control of Bactiguard firmly in one hand.

The signal: The market read the buyout as a vote of confidence, with the share up about 17% in Friday's trading. A founder's exit at a steep premium, paired with a single owner taking near-total voting control, sets Bactiguard up for a new chapter under concentrated ownership.
