What's the deal? NeometalsDealroom has a profile for this one. Try Dealroom → has signed a binding term sheet with Coal Holdings Pty Ltd (CHPL)Dealroom has a profile for this one. Try Dealroom → for a standby debt facility of up to A$2 million, the ASX-listed company said on August 24, 2026. The facility covers working capital after Neometals failed to receive $5 million in subscription funds tied to its Tranche 2 Placement.

Why now? As of the filing date, Neometals had not received the $5 million owed by Omaha Value Holdings, Inc.Dealroom has a profile for this one. Try Dealroom → under the placement, which shareholders approved on May 29, 2026. A further $2.5 million payable by Michael S. Luther under a personal guarantee also remains unpaid.

The terms: The facility carries interest of 10% per annum on drawn amounts and a 3% fee on any undrawn balance, with repayment due by August 31, 2029. It is secured by a first-ranking mortgage over Neometals' shareholding in Avanti Exploration Pty LtdDealroom has a profile for this one. Try Dealroom →. CHPL is owned by former Neometals chairman David Reed.

What's next? Subject to shareholder approval, either party may require the issuance of secured convertible notes to CHPL to settle the balance. The notes would carry a $1.00 face value and convert into ordinary shares at $0.025 each, capped at 2,000,000 notes.

What could go wrong? Both Luther and Omaha have stated they intend to meet their obligations, but timing and receipt remain uncertain. Neometals said it has reserved all rights against both parties and is pursuing enforcement options. CHPL can cancel the facility on 90 days' notice or demand repayment if convertible note approval is not obtained by November 30, 2026.

The signal: The backstop underlines the funding risk facing junior resources companies when committed placements stall, forcing reliance on related-party lenders to keep working capital intact while enforcement plays out.
