AMC Robotics taps warrants for up to $2.1M to fund Vietnam plant

What's the deal? AMC Robotics CorporationDealroom has a profile for this one. Try Dealroom → (Nasdaq: AMCI) has entered warrant inducement agreements with two investors for gross proceeds of up to $2.1 million. The investors will immediately exercise existing warrants for $1 million and hold an option to exercise the rest for up to $1.1 million more.

How it works: The investors agreed to exercise warrants issued in December 2025 at a reduced price of $1.65 per share, down from the existing exercise price of $4.017. They have 30 trading days to exercise the remaining warrants at that reduced price.

What's the endgame? AMCDealroom has a profile for this one. Try Dealroom → plans to use net proceeds to fund a robotics manufacturing facility in Vietnam, working capital, general corporate purposes, and the continued advancement of its products and services.

The New York company builds intelligent hardware and software. Its quadruped platform, Kyro, automates inspection and security tasks, while its NovaArm sorting robot targets warehouses and distribution centres.

The catch: In exchange for exercising in cash, AMC agreed to issue new unregistered warrants — one per share exercised, up to 1,219,816 shares. Those carry a $5.775 exercise price, a 25% premium to the prior day's close, and expire after four and one-third years.

The signal: The deal is small: its $2.1 million ceiling is in the low single-digit percentile for round size. For a Nasdaq-listed robotics firm, warrant inducement offers a quick cash top-up without a traditional raise, at the cost of further dilution.
