Metaplanet stakes $132M in bitcoin to build US treasury vehicle Superplanet

What's the endgame? Metaplanet, which currently holds 43,000 BTC and calls itself the world's third-largest corporate bitcoin holder, wants a US-listed vehicle to raise capital and accumulate more bitcoin. Superplanet will secure funds in the US while Metaplanet raises capital in Japan, forming a consolidated group spanning two markets.
Why now? The deal gives Metaplanet access to what chief executive officer Simon Gerovich called "the deepest capital market in the world." Metaplanet is locking up its Superplanet shares for five years, which the companies frame as a long-term commitment.
Gerovich said: "We've built one of the world's largest Bitcoin treasuries from Japan. Superplanet is how we build in America."
How it works: The structure is a private placement of newly issued securities, not a reverse takeover or SPAC deal. Bitcoin contributed by the group stays within it, and Superplanet's holdings will be consolidated on Metaplanet's balance sheet.
The signal: The deal extends the corporate bitcoin treasury model — popularised by firms buying and holding the asset as a reserve — across borders. By operating two listed vehicles with separate investor bases and currencies, Metaplanet is testing whether a single group-level bitcoin position can compound faster by tapping both Tokyo and Nasdaq.
