AngloGold Ashanti backs Thesis Gold with C$58.5M to lift stake to 9.7%

The details: The offering spans 8,342,257 common shares at C$3.4118, plus two flow-through tranches — 2,020,202 BC shares at C$4.95 and 4,282,655 national shares at C$4.67. Flow-through proceeds will fund qualifying Canadian exploration expenses at Lawyers-Ranch, while common-share proceeds go to working capital and technical studies.

Why now? The raise follows AngloGold Ashanti's initial 5% investment completed in February 2026. Thesis is advancing Lawyers-Ranch through feasibility, permitting, and exploration.

What's the endgame? Chief executive officer Ewan Webster called the move "a strong endorsement of the quality and scale of Lawyers-Ranch." At closing, the two companies will enter an amended investor rights agreement, superseding the deal signed February 26, 2026.

What could go wrong? Closing, expected around August 27, 2026, remains subject to TSXV approval and customary conditions. All securities carry a four-month hold period.
