Change Agents lands $10M equity line from Hudson Global Ventures

How it works: The agreement gives Change Agents the right, but not the obligation, to "put" shares to Hudson Global Ventures at $0.30 per share — above the Nasdaq minimum price. Each draw must be at least $15,000 and no more than $500,000, or up to 200% of average daily trading value, whichever is less.
Why now? The structure gives Change Agents flexibility to raise capital as needed for growth, operations, or other strategic initiatives, rather than in a single lump sum.
The deal also includes warrants for Hudson Global Ventures to buy additional shares. The investor is barred from short-selling the stock during the commitment period, which may help support the share price.
Change Agents must file and keep effective an SEC registration statement covering the resale of the shares, declared effective within 90 days of the agreement date. It must also maintain compliance with Nasdaq listing rules throughout.
What could go wrong? Issuing up to $10 million in new shares could sharply increase shares outstanding and dilute existing shareholders. Any lapse in SEC reporting or Nasdaq compliance could jeopardise the arrangement.
