Five Star Bancorp launches public stock offering to fund bank's growth

What's the deal? Five Star Bancorp (Nasdaq: FSBC), the Rancho Cordova, California holding company behind Five Star Bank, has launched an underwritten public offering of common stock. It plans to grant underwriters a 30-day option to buy additional shares.

Who's involved? Keefe, Bruyette & Woods, A Stifel Company, is serving as bookrunner. StephensDealroom has a profile for this one. Try Dealroom → Inc., D.A. Davidson & Co., Raymond JamesDealroom has a profile for this one. Try Dealroom → & Associates, and Brean Capital are acting as co-managers.

What's the endgame? Five Star intends to use net proceeds for general corporate purposes and to support continued growth, including investments in the Bank to pursue growth opportunities, and for working capital.

Why now? The offering follows the opening of a Lodi branch in July 2026, bringing the Bank to ten branches across California. It is being made under a registration statement on Form S-3, declared effective by the Securities and Exchange Commission on February 9, 2026.

The signal: The post-IPO equity raise is a bet on organic expansion, tapping public markets to fuel branch growth rather than acquisitions — a signal that a smaller community bank sees room to scale in California.
