Sancode hands Trinity Gate a 19.86% stake via convertible warrants
What's the deal? Sancode Technologies has completed a preferential allotment of 1,490,387 convertible warrants to Trinity Gate LLC, effective July 16, 2026. On a fully diluted basis, the deal gives Trinity Gate a 19.86% stake. Trinity Gate is not classified as a promoter or part of the promoter group.
What changes now? Before the transaction, Sancode held an equity share capital of 5,179,978 shares. Assuming full conversion of the new warrants, total diluted share capital rises to 7,505,560.
What could go wrong? Conversion of the warrants into equity would dilute existing shareholders. The strategic implications of a large non-promoter investor entering the register also remain to be seen.
