Bending Spoons files for US IPO on Nasdaq

Bending Spoons, the Milan-based technology company that buys and overhauls well-known digital apps — its portfolio spans Evernote, Meetup, Vimeo, WeTransfer, Eventbrite, StreamYard, Remini and AOL — publicly filed a Form F-1 registration statement with the US Securities and Exchange Commission on 8 June 2026, giving the public its first detailed look at the finances behind its acquisition strategy.

The filing shows revenue grew 95% year on year to $1.31 billion in 2025, having more than tripled between 2023 and 2025. The company is profitable at the operating level: operating profit more than doubled to $278 million in 2025, from $127 million in 2024.

The momentum carried into 2026 — first-quarter revenue more than doubled to $601.3 million (from $258.9 million a year earlier), operating income reached $120.2 million (reversing a $4.6 million operating loss), and the company swung to a $27.5 million net profit, against a $112.2 million net loss in the first quarter of 2025.

Bending Spoons has applied to list on the Nasdaq Global Select Market under the ticker “BSP”, with a dual-class share structure — Class A shares carry five votes each to ordinary shares’ one — that keeps control in its founders’ hands. Goldman Sachs, J.P. Morgan and Allen & Company are the global lead book runners on the offering.
