Mutares exits Terranor Group with €50M in total proceeds
What's the deal? Munich-based investment firm Mutares SE & Co. KGaA has sold its remaining 46.3% stake in Terranor Group AB, the Nordic road maintenance specialist, via a private placement to Swedish and international institutional investors. The sale marks a complete exit from Terranor, generating around €50M in total gross proceeds across the entire holding period.
DNB Carnegie and SB1 Markets acted as joint bookrunners. Mutares said it achieved a return on invested capital well above its target range.
Why now? Terranor is riding a wave of Nordic infrastructure spending. Sweden recently increased its road budget for 2026–2037 by 48%, and Terranor secured 31% of the awarded contract volume in the 2026 Swedish tender season — a record-high order backlog.
Mutares acquired the Swedish and Finnish operations from NCC in a 2020 carve-out, added the Danish business in 2021, and listed the company in June 2025. It gradually reduced its stake in December 2025 and March 2026 before this final placement.
"The final exit from Terranor Group is in line with Mutares' strategic approach of divesting investments following a successfully completed operational turnaround," said Johannes Laumann, chief investment officer of Mutares.
What could go wrong? Terranor now stands on its own without Mutares' operational backing. While its order book is strong, the company must prove it can sustain growth and profitability independently as a publicly listed entity. Infrastructure budgets, though largely non-cyclical, remain subject to political shifts.
The signal: This exit illustrates the classic private equity playbook — buy a carve-out, transform operations, list, and sell into strength. Mutares timed its departure to coincide with peak investor appetite for infrastructure assets, buoyed by massive Nordic government spending commitments. As the only large independent road operations and maintenance specialist in the region, Terranor occupies a niche that clearly resonated with institutional buyers.
