GSR V Acquisition prices $200M Nasdaq IPO
What's the deal? GSR V Acquisition Corp. has priced its initial public offering at $200M, selling 20 million units at $10 apiece on the Nasdaq Global Market. The units began trading on May 14 under the ticker GSRVU, with the offering expected to close on May 15.
Each unit consists of one Class A ordinary share and one-seventh of a right. Every whole right entitles the holder to receive one additional Class A share when the company completes an initial business combination. Once the units begin separate trading, shares and rights will list under the tickers GSRV and GSRVR.
Underwriters hold a 45-day option to purchase up to 3 million additional units, which could bring total gross proceeds to $230M.
Why now? GSR V is a special purpose acquisition company (SPAC), a blank-cheque vehicle designed to raise capital through an IPO and then merge with a private company. SPACs tend to launch when public market conditions are favourable and deal pipelines are active — conditions that appear to be holding in mid-2025.
What could go wrong? The rights structure introduces potential dilution. When converted into Class A shares upon a business combination, those rights will increase the total share count — diluting existing shareholders.
There's also a governance wrinkle: Polaris, an advisory firm controlled by GSRV's management, is acting as joint bookrunner on the deal. That relationship required the appointment of a qualified independent underwriter to ensure the offering's terms are fair.
And as with any SPAC, there's no guarantee the company will find a suitable merger target within its allotted timeframe.
The signal: The fact that a $200M SPAC can price at par in today's market suggests investor appetite for blank-cheque vehicles hasn't fully evaporated — even after the post-2021 SPAC hangover. It also signals that sponsors believe there are attractive private companies looking for a faster route to public markets. Whether that confidence is rewarded will depend entirely on what deal GSR V ultimately strikes.
