Axxon bets on Brazil's frozen bakery market with M&A push

What's the deal? Brazilian private equity firm Axxon has expanded its frozen bakery bet through a merger between its portfolio company Doce D'Ocê and Nevasca, a Santa Catarina-based specialist in laminated and layered products like croissants. The combined entity is projected to generate US$153.5M in revenue, placing it among the top players in Brazil's frozen bakery market. The deal's value was not disclosed.

Why now? Axxon has studied frozen bakery for nearly a decade but held off until conditions were right. Partner Marcos Novoa explained that cold-chain logistics — refrigerated warehouses and transport — were once too scarce in Brazil to justify investment.

"The frozen logistics network gained capillarity, specialised refrigerated transport operators emerged, and modern retail began structurally outsourcing bakery production," Novoa said. "Both supply and demand are now positive for secular growth in this segment, and that's the window we're capturing."

What could go wrong? Brazil's frozen bakery market is estimated at US$2.56B, but penetration sits below 30% — far behind more mature markets in Europe and North America. That gap represents opportunity but also risk: consumer habits and retailer preferences could shift slowly, and the cold-chain infrastructure Axxon is counting on is still developing.

Consolidation through M&A also carries integration risk. Partner Pedro Cervatti acknowledged that acquisitions are a structural part of the plan but stressed selectivity. "It's not M&A for size. It's for quality and complementarity," he said.
