KD Green Industries raises ₹212M via warrant conversions, reports first consolidated results

What's the deal? KD Green Industries, formerly known as Manbro Industries, has raised approximately ₹212M by allotting 43.5 million equity shares through warrant conversions. The company will use the funds for business expansion and working capital.

Alongside the capital raise, KD Green reported consolidated revenue of ₹647.06M and a net profit of ₹51.81M for the financial year ended March 31, 2026. It is the first time the company has presented consolidated financial results.

The consolidated numbers reflect a string of recent acquisitions, including stakes in Shivam Pipe Industries, KD Ecosystem, Green AAC Block and Mortar Private Limited, and KD Infrastructures Private Limited.

On a standalone basis, the picture is far smaller: revenue of just ₹17.20M and net profit of ₹5.76M.

Why now? KD Green has been on an inorganic growth spree, snapping up companies across the iron, steel, and infrastructure sectors. The shift to consolidated reporting was a natural next step — giving investors their first full view of the combined business.

The equity allotment signals that the company is pressing ahead with its expansion strategy and needs fresh capital to fund it.

What could go wrong? The gap between consolidated and standalone performance is stark. Nearly all of KD Green's revenue and profit comes from its recently acquired subsidiaries, meaning the parent company is heavily dependent on entities it has only just integrated.

If those subsidiaries underperform or prove difficult to manage under one roof, the consolidated numbers could deteriorate quickly. Investors should also note that the 43.5 million new shares dilute existing holdings.
