Edtech Giants Combine as Coursera Buys Udemy in $2.5B Deal

Coursera and Udemy have agreed to combine in an all-stock transaction that values the merged online education group at around $2.5B, marking one of the most significant consolidation moves in the digital learning sector since the pandemic-driven boom.

Under the terms of the deal expected to close in the second half of next year, Udemy shareholders will receive 0.8 Coursera shares for each Udemy share held, valuing Udemy at $930M.

The transaction brings together two platforms with distinct but complementary models. Coursera partners with universities, institutions and companies to offer degrees, professional certificates and workforce training programmes, while Udemy operates a marketplace built around courses created by independent instructors, alongside a growing business subscription offering. Both companies have increasingly targeted corporate customers as demand for skills training shifts toward employers rather than individual learners.

Executives at both firms have framed the deal as a way to strengthen their position in enterprise learning, particularly in areas such as artificial intelligence, data science and software development. Employers have stepped up investment in reskilling as generative AI reshapes job roles, but growth in consumer-focused online education has slowed, prompting platforms to look for scale and efficiency.

The agreement comes after a prolonged period of pressure on publicly listed education technology companies. Udemy’s shares have fallen sharply this year, while Coursera has also traded well below its post-IPO highs, reflecting investor caution around competition, pricing and the pace at which AI-related training translates into sustained revenue growth.

According to the companies, the combination is expected to deliver cost savings through overlapping operations and a broader catalogue for enterprise clients. Analysts have noted that the strategic logic lies in blending Coursera’s institutional relationships with Udemy’s large base of practical, skills-focused content.
